1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and ToolboxID ("Company," "we," "us," or "our"). By accessing or using the ToolboxID website, platform, and related services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use of the Service following any changes constitutes acceptance of the revised Terms.
2. Nature of the Service
ToolboxID is an independent third-party contractor verification and directory platform. Contractors apply to be reviewed, and those who meet our verification criteria receive a ToolboxID badge and directory listing. It is critical that all Users understand the following:
- Information Service Only. ToolboxID is an information service. We are NOT a guarantor, insurer, or warrantor of any contractor's quality, competence, reliability, safety, financial stability, or fitness for any particular purpose.
- Point-in-Time Verification. Our verification process reflects a review of certain credentials and information at a specific point in time. Verification is not ongoing monitoring. A contractor's credentials, licenses, insurance, or standing may change after the date of our review, and we have no obligation to continuously monitor or update verification status.
- No Inspection or Supervision. ToolboxID does not inspect, supervise, direct, or control the work performed by any contractor. We have no involvement in the actual services a contractor provides to any consumer or business.
- No Guarantee of Accuracy. While we endeavor to provide accurate information, ToolboxID does not guarantee the accuracy, completeness, timeliness, or reliability of any information displayed on the Service, including contractor profiles, verification statuses, or directory listings. Information is provided "as is" and "as available."
- Consumer Due Diligence. Consumers and all other Users of the Service are solely responsible for conducting their own independent due diligence before hiring or engaging any contractor. This includes, but is not limited to, verifying current licenses, insurance, bonding, references, and any other factors relevant to your specific project or needs. A ToolboxID verification or badge should not be the sole basis for any hiring decision.
- No Employment Relationship. ToolboxID is not an employer, agent, or representative of any contractor listed on the Service. Contractors are independent businesses. No employment, partnership, joint venture, or agency relationship exists between ToolboxID and any contractor by virtue of their listing or verification.
3. User Eligibility and Accounts
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Contractor Application and Verification
4.1 Application Process
Contractors may apply for verification by submitting an application through the Service. By submitting an application, you represent and warrant that all information provided is true, accurate, complete, and not misleading. You authorize ToolboxID to verify the information you provide through any means we deem appropriate, including contacting licensing boards, insurance providers, and other third parties.
4.2 Verification Standards
ToolboxID reviews contractor applications against our internal verification criteria, which may include confirmation of business licensing, insurance coverage, bonding, and other credentials. We reserve the sole and absolute discretion to approve, deny, suspend, or revoke any application or verification at any time, for any reason or no reason, without obligation to provide detailed justification.
4.3 Verification Is Point-in-Time
Verification reflects our review of information as of a specific date. It does not constitute an ongoing representation that a contractor's credentials remain current or valid. Contractors are solely responsible for maintaining their licenses, insurance, and other credentials in good standing. Contractors must promptly notify ToolboxID of any material changes to their credentials.
4.4 No Certification or Endorsement
A ToolboxID verification status means that a contractor has been reviewed against our criteria at a point in time. It does not constitute a certification, endorsement, recommendation, or guarantee of any kind. The terms "verified" and "reviewed" as used throughout the Service refer solely to our internal review process and should not be construed as a guarantee of quality, competence, or fitness.
5. ToolboxID Badge
Upon successful verification, contractors receive a ToolboxID badge and directory listing. The badge is a limited, non-exclusive, non-transferable, revocable license granted by ToolboxID to display the badge solely in connection with the contractor's verified business. This license is subject to the following conditions:
- The badge remains the intellectual property of ToolboxID at all times.
- The badge may only be used in the form provided by ToolboxID, without modification, alteration, or distortion.
- The badge may not be used in any manner that implies ToolboxID endorses, guarantees, or certifies the contractor's work or services.
- ToolboxID may revoke the badge license at any time, for any reason, in its sole discretion, with or without notice.
- Upon revocation, the contractor must immediately cease all use of the badge and remove it from all materials, websites, vehicles, signage, and any other locations where it is displayed.
- Unauthorized use of the badge, including use after revocation, constitutes trademark infringement and may result in legal action.
6. Fees, Payment, and Refund Policy
6.1 Application and Verification Fees
ToolboxID may charge fees for applications, verifications, renewals, and other services. Current fee schedules are available on the Service. All fees are quoted in U.S. dollars. We reserve the right to change our fees at any time with reasonable notice.
6.2 Payment Authorization and Billing
During the application process, contractors are required to provide a valid payment method. A temporary authorization hold may be placed on the payment method to verify its validity; however, you will not be charged unless and until your application is approved and your profile is listed on the ToolboxID directory. If your application is denied or withdrawn, no charge will be made and any authorization hold will be released. By providing your payment method, you authorize ToolboxID to charge the applicable verification and listing fee upon approval.
6.3 General Refund Policy
Unless otherwise specified, fees paid to ToolboxID are generally non-refundable once processing of your application or service has begun. Refund requests, if any, will be evaluated on a case-by-case basis at our sole discretion.
7. User Conduct and Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Providing false, misleading, or inaccurate information in any application, profile, or communication.
- Using the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Impersonating any person or entity, or falsely claiming an affiliation with any person or entity.
- Interfering with or disrupting the Service, servers, or networks connected to the Service.
- Scraping, crawling, or using any automated means to access or collect data from the Service without prior written consent.
- Attempting to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
- Using the ToolboxID badge, name, or trademarks without authorization or in a misleading manner.
- Reproducing, duplicating, copying, selling, or exploiting any portion of the Service for commercial purposes without express written permission.
8. Intellectual Property
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by ToolboxID, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The ToolboxID name, logo, badge, and all related names, logos, product and service names, designs, and slogans are trademarks of ToolboxID. You may not use such marks without the prior written permission of ToolboxID.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TOOLBOXID EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, ToolboxID makes no warranty or representation that:
- The Service will meet your requirements or expectations.
- The Service will be uninterrupted, timely, secure, or error-free.
- Any information obtained through the Service will be accurate, reliable, or complete.
- Any contractor listed on the Service is qualified, competent, licensed, insured, bonded, reputable, or suitable for any particular project or purpose.
- The verification status of any contractor is current or remains valid at any time after the date of the original verification review.
- Any defects or errors in the Service will be corrected.
You understand and agree that your use of the Service is at your sole risk. Any reliance on information provided through the Service is strictly at your own risk.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOOLBOXID, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF TOOLBOXID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF TOOLBOXID FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO TOOLBOXID IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
This limitation of liability applies regardless of the form of action and regardless of whether ToolboxID has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless ToolboxID, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any claim that information you provided caused damage to a third party; or (e) for contractors, any work performed or services rendered to any consumer or third party.
12. Dispute Resolution and Arbitration
12.1 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and ToolboxID agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring individual claims in small claims court if they qualify. The Federal Arbitration Act, 9 U.S.C. 1 et seq., governs the interpretation and enforcement of this arbitration provision.
Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or if the AAA is unavailable, by another mutually agreed-upon arbitration forum. The arbitration shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
12.2 Class Action Waiver
YOU AND TOOLBOXID AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the Dispute shall be resolved in a court of competent jurisdiction.
12.3 Pre-Arbitration Dispute Resolution
Before initiating arbitration, you agree to first contact ToolboxID in writing to attempt to resolve the Dispute informally. The notice must describe the nature and basis of the claim and the specific relief sought. If the Dispute is not resolved within sixty (60) days of receipt of the notice, either party may proceed to arbitration.
12.4 Opt-Out
You may opt out of this arbitration provision by sending written notice to ToolboxID within thirty (30) days of your first use of the Service. If you opt out, the remaining provisions of these Terms will continue to apply.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent that litigation is permitted under these Terms, you and ToolboxID agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Wilmington, Delaware.
14. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. For contractors, all badge licenses will be automatically revoked upon termination, and the contractor must immediately cease all use of the ToolboxID badge and trademarks. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
15. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or agreements published by ToolboxID on the Service, constitute the entire agreement between you and ToolboxID concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and ToolboxID with respect to the Service.
17. Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of ToolboxID to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
18. Assignment
You may not assign or transfer these Terms or your rights or obligations hereunder, in whole or in part, without the prior written consent of ToolboxID. ToolboxID may assign these Terms at any time without notice or consent. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
19. Force Majeure
ToolboxID shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, government actions, fire, flood, earthquakes, civil unrest, terrorism, strikes, power failures, internet disruptions, or cyberattacks.
